Terms of Service

1. Acceptance

By downloading, installing, or purchasing a license for TagManager ("the Software"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Software.

2. License types

TagManager is distributed under two license types:

Free (MIT): The command-line interface is open source under the MIT License. You may use it for personal, non-commercial purposes at no charge. The MIT License text is included in the GitHub repository.
Commercial License (Individual / Team / Enterprise): Purchased licenses grant you the right to use TagManager in commercial settings as described in your license tier. Commercial licenses are non-transferable and non-sublicensable unless otherwise agreed in writing.

3. What you may do

Install and use the Software on devices covered by your license tier.
Integrate the Software into your own workflows and internal tools.
Make backups of the Software for archival purposes.

4. What you may not do

Redistribute, resell, sublicense, or transfer the Software to third parties without written permission.
Remove or alter any copyright, trademark, or license notices.
Use the free MIT CLI tier for commercial purposes without purchasing a commercial license.
Reverse-engineer the GUI or non-open-source components of the Software.

5. Payment and billing

All prices are listed in US dollars. Payments are processed by Paddle.com, our authorized Merchant of Record, who also handles applicable sales tax and VAT. One-time license fees are charged at time of purchase. Annual subscriptions (Team and Enterprise) are billed each year on the anniversary of your purchase date.

6. Disclaimer of warranties

The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free or uninterrupted.

7. Limitation of liability

To the fullest extent permitted by applicable law, Davit Tchintcharauli shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Software, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid for the Software in the twelve months preceding the claim.

8. Governing law

These Terms are governed by the laws of Georgia (country). Any disputes shall be subject to the exclusive jurisdiction of the courts of Tbilisi, Georgia.

9. Changes to these Terms

We reserve the right to update these Terms at any time. Material changes will be announced on the GitHub repository. Continued use after notice constitutes acceptance of the updated Terms.
